Terms of Service

1. Agreement to Terms

By accessing or using Calniq ("Service"), operated at calniq.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Calniq ("we", "us", "our") provides the Service. By creating an account, you ("you", "your", "Customer") confirm that you are at least 18 years old and have the legal authority to enter into this agreement.

2. Service Description

Calniq is a software-as-a-service (SaaS) platform that provides embeddable booking widgets for service businesses. The Service includes:

  • Booking widget for embedding on your website
  • Pricing widget with SEO markup
  • Admin panel for managing bookings, services, and team members
  • Google Calendar integration
  • Webhook integrations for third-party systems
  • Email notifications for bookings

We reserve the right to modify, improve, or discontinue features of the Service at any time with reasonable notice.

The Service is intended for business use only. By subscribing, you represent that you are acting on behalf of a business entity, not as a consumer.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Each account is associated with one tenant (business account). The account owner is responsible for managing team members and their access levels.

4. Free Trial

New accounts receive a 14-day free trial with full access to the selected plan's features. No payment information is required to start a trial.

At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your booking widget will be deactivated, but your account data will be preserved for 90 days.

5. Subscription and Billing

Plans and Pricing. The Service is offered under subscription plans with different feature limits. Current pricing is available on our website. We reserve the right to change pricing with 30 days' advance notice. Existing subscribers will retain their current pricing until the end of their billing cycle.

Billing Intervals. Subscriptions are available on a monthly or annual basis. Annual subscriptions are billed upfront at a discounted rate (10% off the equivalent monthly price).

Automatic Renewal. Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the applicable subscription fee at the beginning of each billing period.

Payment Processing. All payments are processed securely through Stripe. We do not store your credit card information on our servers. By subscribing, you agree to Stripe's Terms of Service.

Add-ons. Additional features (extra projects, extra users, white-label branding) may be purchased as add-ons to your subscription. Add-ons follow the same billing interval as your base subscription.

Failed Payments. If a payment fails, we will attempt to charge your payment method again according to Stripe's retry schedule. Your Service will remain active for 7 days after a failed payment. If payment is not resolved within this grace period, your subscription will be suspended.

6. Cancellation

You may cancel your subscription at any time through your account settings or the billing management portal. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • After the billing period ends, a 7-day grace period begins during which your widget continues to function
  • After the grace period, your booking widget will be deactivated
  • Your account data will be preserved for 90 days, allowing you to resubscribe and restore your setup

No partial refunds are issued for unused time in a billing period, except as described in our Refund Policy below.

7. Refund Policy

14-Day Money-Back Guarantee. If you are not satisfied with the Service, you may request a full refund within 14 days of your first payment. This applies to the initial payment only (monthly or annual).

To request a refund, contact us at [email protected]. Refunds will be processed within 5–10 business days to your original payment method.

Annual Subscriptions. For annual subscriptions, the 14-day money-back guarantee applies to the first annual payment. After 14 days, no refunds are issued for annual subscriptions.

Renewals. Refunds are not available for renewal payments. You can cancel auto-renewal at any time before the next billing date.

Add-ons. The 14-day guarantee applies to the first payment of each add-on. After that, add-on charges are non-refundable.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Share your account credentials with unauthorized parties
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell or redistribute the Service without written authorization

We reserve the right to suspend or terminate accounts that violate these terms.

9. Your Data and Content

You retain ownership of all data you input into the Service, including business information, service configurations, and booking records. We do not claim any ownership of your content.

You grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service. We will not sell, share, or use your data for purposes unrelated to the Service.

You act as the Data Controller for personal data your end customers submit through your booking widget. Calniq acts as the Data Processor on your behalf. You are responsible for ensuring your use of the Service complies with applicable data protection laws, including obtaining necessary consents from your end customers.

10. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance when possible.

We are not liable for any losses arising from temporary service interruptions, including missed bookings or revenue loss.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided "as is" without warranties of any kind. We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, loss of data, or loss of goodwill, arising from the use or inability to use the Service.

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Calniq, its operators, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your misuse of end customer data collected through the Service.

13. Force Majeure

We shall not be liable for any delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, war, cyberattacks, infrastructure failures, third-party service outages, or government actions.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if necessary, through the courts of Ukraine.
